Job Description Summary
Provide support for The School of Medicine and other appropriate University offices, regarding conflict of interest with particular emphasis on the management of faculty consulting agreements, confidentiality agreements, conflict of interest issues, policies and procedures, and monitoring of extramural faculty activities. Prepare, review, and negotiate standard terms and conditions of consulting agreements and confidentiality agreements for PSOM faculty members and keep such faculty informed of negotiations and status of such agreements. Provide support for the Penn Medicine by preparing, reviewing, and negotiating agreements and putting together transactions in support of the downtown and regional hospitals, as well as Penn Medicine's physician practices. Participate in OGC's consult call service on patient care matters. Maintain database(s); review and analyze related documents, maintain detailed records, prepare correspondence, prepare reports to support office operations. Perform legal and factual research and stay abreast of changes in laws and regulations that impact compliance. Work on special projects as needed.

Job Responsibilities

  • Review Research Relatedness Assessments to determine if faculty activities and interests
    are independent from research. If related, escalate to Research Integrity Office.
  • Under the direction of Supervisor, be responsible for the intake, review, and negotiation of
    consulting agreements and confidentiality agreements for PSOM faculty members and staff in accordance with University and PSOM policies and procedures. Promptly communicate with PSOM faculty and staff on the review, requested amendments, and status of such negotiations.
  • Input detailed information into database system for consulting and confidentiality agreements; summarize database information, create queries, and print reports; advise counsel and clients of terminations, expirations, renewals, amendments, receipt of supporting documentation.
  • Provide legal support for the University of Pennsylvania Health System (UPHS) and its
    components/departments as they relate to UPHS transactional matters, contracts, and corporate services.
  • Handle transactions and other complex agreements, including physician practice acquisitions and other corporate affiliations, as well as the drafting and negotiation of contracts in the innovation and information systems areas.




Qualifications

  • Doctor of Law and 2 to 3 years of experience or equivalent combination of education and experience is required.
  • Education - Must be admitted and in good standing in Pennsylvania or other state bar; admission to Pennsylvania bar required within one (1) year as a condition of continued employment.

Minimum of 5 years experience as a lawyer in a university or hospital legal office, law firm or corporate office setting with proven strong organizational skills; Superior computer skills in a PC-based environment (MS Office 2007, including Word, Excel, Access, PowerPoint, Outlook), as well as electronic research skills using Lexis-Nexis, WestLaw, other commercial databases and other Internet resources; must be articulate and able to work cooperatively with co-workers, respond well to competing time demands, be motivated to work hard and take pride in his/her work; must be accurate, thorough and detail oriented; good personal skills are essential.
